Is this a good deal?

Hello,
Still new to Mustangs, and dont want to over pay.

New Base GT 2024 Model, metallic gray. Is $39K out the door a good deal?

It's sounding decent off-hand but how many 'test' miles on it and the equipment (options) details are important. It's going to be two model years old in no time and you have to think that way too. If you plan on owning it for many years, no problem at all. Are you OK with that color or are you 'settling'.

I want white and gray. They have not agreed to 39K out the door. Out the door means at least $3300 fees included in the price.

I still think it depends on the mileage. If it has a few thousand miles on it from salesmen beating the hell out of it, then NO, it's not a good deal. If it has a few hundred miles and no issues from sitting on the lot, heck yeah, that sounds good if it's the car you want.
Realize that the car will be worth $35k the minute you drive off the lot and even lower next year. This 2025 beauty near me in Charlotte is probably going to sell in that same $39k to $40k price area. It's used but only 1,800 miles. It's one year newer yet very close in price. Used vs new is the reason why, but again, those miles on yours are an important factor.

Reasons 7 through 122 why I buy used. I love NOT paying the drove-off-the-lot and first-two-years of depreciation.

I have bought some new and enjoyed them, but decided over time it just wasn't worth it.

It really depends on the type car too. No way was I buying a used Hemi Challenger. I wanted my 'dream' car optioned perfectly and one that was never driven by anyone else, and one that I would own for a really long time with depreciation having zero impact.
On the other hand, like you, I really liked saving thousands and thousands of dollars when we bought our '14 GT 'vert in 2022. A really low 8,800 easy miles mostly going to golf courses by the prior owner and never driven in winter. If we had to sell today our loss would be minimal,. We just don't have $60k for a new GT 'vert. This one is perfectly fine.
